These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and Template Marketplace ("Company," "we," "us," or "our") regarding your use of our AI-powered template generation platform and related services.

By accessing or using our services, you agree to be bound by these Terms, our Privacy Policy, and our Non-Disclosure Agreement. If you do not agree to these terms, you must not use our services.

• Support Services: Technical assistance and customer support

Proprietary Technology

Our services utilize proprietary and confidential technology including:

• Custom optimization and conversion techniques
• Exclusive design frameworks and systems

Subscription and Billing

Subscription Plans

• Monthly Subscription: $47 per month, billed monthly
• Annual Subscription: $470 per year (equivalent to 10 months)
• Enterprise Plans: Custom pricing for high-volume users
• Free Trial: 14-day trial period for new users

Billing Terms

• Subscriptions automatically renew unless cancelled
• Payment is due in advance for each billing period
• Price changes require 30 days advance notice
• Failed payments may result in service suspension
• Refunds are provided according to our refund policy

Cancellation and Refunds

• Cancel anytime through your account settings
• Cancellation takes effect at the end of current billing period
• 30-day money-back guarantee for new subscriptions
• Pro-rated refunds for annual subscriptions (first 60 days)
• No refunds for partial months or unused features

• System Abuse: Overloading or attempting to disrupt our systems
• Data Mining: Extracting data for unauthorized purposes

Intellectual Property Rights

Our Intellectual Property

Template Marketplace owns all rights, title, and interest in:

• Software Platform: Source code, architecture, and technical implementations

User-Generated Content

• You retain ownership of content you create using our platform
• You grant us a license to host, display, and process your content

• You are responsible for ensuring your content doesn't infringe third-party rights

License to Use

We grant you a limited, non-exclusive, non-transferable license to:

This license does NOT include the right to:

• Copy, modify, or reverse engineer our algorithms
• Create derivative works based on our proprietary technology
• Share or redistribute our proprietary methods

Confidentiality and Trade Secrets

Confidential Information Includes

• Technical Information: AI algorithms, source code, system architecture, database schemas
• Business Information: Customer lists, pricing strategies, marketing methods, financial data
• Operational Information: Internal processes, vendor relationships, strategic plans
• Performance Data: Conversion rates, optimization techniques, analytics methodologies

Confidentiality Obligations

You agree to:

• Maintain strict confidentiality of all proprietary information
• Not disclose confidential information to any third party
• Use confidential information solely for authorized purposes
• Implement reasonable security measures to protect confidential information
• Return or destroy confidential information upon request

Duration of Confidentiality

Confidentiality obligations survive termination of this agreement and continue for:

• Trade Secrets: Indefinitely, as long as information remains secret
• Business Information: 5 years from disclosure or termination
• Technical Information: 5 years from disclosure or termination
• Customer Data: 3 years from termination

Limitation of Liability

Service Disclaimers

Our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We disclaim all warranties, express or implied, including:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Uninterrupted or error-free operation
• Accuracy or completeness of content

Limitation of Damages

To the maximum extent permitted by law, our liability is limited to:

• The amount you paid for services in the 12 months preceding the claim
• Direct damages only (no consequential, indirect, or punitive damages)
• $1,000 maximum for any single incident

Exceptions to Limitations

Liability limitations do NOT apply to:

• Confidentiality breaches by users
• Intellectual property infringement by users
• Gross negligence or willful misconduct
• Death or personal injury caused by our negligence
